End User Agreement
Internet AutoParts, Inc. (“IAP”), in partnership with your auto parts supplier, makes automotive parts catalog information and other content and data (“Content”) available to you through this web site (the “Web Site”) as a service (the “Service”), subject to the terms and conditions of this End User Agreement between you and IAP (“Agreement”). By accessing the Web Site, the Content, or by utilizing the Service, you agree to and accept the terms and conditions of this Agreement. If you do not agree to the terms of this Agreement, you must immediately disconnect from any access to the Web Site, and shall not have any rights or access whatsoever to the Content or the Service. To proceed with the Service, please click “I Accept” below to indicate your acceptance of this Agreement. If you do not agree with the Agreement, please indicate “I Do Not Accept” below and your access will be terminated.
The Web Site, Services and Content are the proprietary property of IAP and its licensors, and that property is protected by the copyright laws of the United States and other laws. Access to the Web Site, Service and Content is limited to those granted password credentials (“Credentials”) by IAP or its authorized agents, and for only so long as such Credentials remain valid. Credentials are confidential and unique to each user and you may not share your Credentials with, or disclosed them to, any other person or user. You may only use those Credentials to access the Web Site for so long as you are in compliance with this Agreement. Allowing third party software, service providers or other persons to use your Credentials or to access or use the Web Site, Services or Content is strictly prohibited without the prior written consent of IAP. In addition, for further clarification and not limitation, you may not aggregate Content accessed through the Service into a database, nor may you permit any other person to do so. IAP may, without notice, terminate those Credentials in accordance with its security policies or terminate this Agreement (and all rights granted hereunder) if it determines that you are not in compliance with this Agreement.
Subject to your access to the Web Site through valid a Credential, you are granted the limited right to display, copy, distribute and download Content accessed through the Service in connection with the purchase or prospective purchase of parts through the Service. No other rights are provided with respect to the Web Site, Service or Content. Upon the conclusion of your purchase transaction or the decision not to purchase, you are required to destroy immediately any downloaded and printed materials other than those retained in connection with a purchase. Any access of the Web Site from outside the United States and Canada is prohibited.
THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” BASIS AND IAP DISCLAIMS ANY WARRANTY WHATSOEVER, WHETHER EXPRESS, IMPLIED OR STATUTORY WITH REGARD TO THE SERVICES AND CONTENT, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, SUITABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS. WHILE THE SERVICE FACILITATES COMMUNICATIONS FOR THE PURCHASE OF AUTOMOTIVE PARTS BETWEEN BUYERS AND SELLERS, IAP IS NOT A PARTY TO ANY PURCHASE OR SALE TRANSACTION NOR IS IT RESPONSIBLE IN ANY WAY FOR THE PRODUCTS PURCHASED THROUGH THE SERVICE.
NEITHER IAP NOR ITS LICENSORS OR SUPPLIERS SHALL HAVE ANY LIABILITY WHATSOEVER UNDER THIS AGREEMENT FOR ANY INDIRECT, PUNITIVE, EXEMPLARY, SPECIAL AND/OR INCIDENTAL DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, DATA OR GOODWILL.
IAP’S LICENSORS AND SUPPLIERS SHALL BE THIRD PARTY BENEFICIARIES TO THIS AGREEMENT AND MAY ENFORCE ITS TERMS OR RESTRICTIONS.
This Agreement is governed by the laws of the State of Texas, without application of its conflicts of laws. Any dispute between you and IAP regarding this Agreement will be subject to the exclusive venue of the state and federal courts located in Austin Texas. This Agreement constitutes the entire agreement between the parties with regard to its subject matter. If any provision of this Agreement is held invalid, the remainder of the Agreement will remain in full force and effect.
